外教課程公告2號:《美國證券法導(dǎo)論》

受教育部海外名師項目資助，今年3月7日至4月2日，我院合作單位美國佛羅里達大學法學院Stuart R. Cohn教授將來我院開授1學分的短期集中課程《美國證券法導(dǎo)論》。本次還將結(jié)合“阿里從上市到被告”的年度特色案例分析。

    Cohn教授是美國著名的證券法專家，也是我院與佛羅里達大學法學院的學生訪學項目的美方負責人之一。其簡歷可見http://www.law.ufl.edu/faculty/stuart-r-cohn。

    因Cohn教授三年前曾經(jīng)來我院為本科生授課，這次根據(jù)他個人意見，主要將面向研究生授課，包括法學博士生、法學碩士生、法律碩士生。但這主要指教授將推定選課學生已經(jīng)具有必要的證券法律知識，故并不排斥本科生注冊和旁聽。跨校區(qū)上課的學生需自行解決通勤問題。

    本次授課采用自愿注冊形式，不收取學費，學院免費印刷和發(fā)放教授提供的講義，不進入學校學分計算系統(tǒng)，但對符合出勤要求的學生，可根據(jù)學生的要求頒發(fā)單獨的學院學分證明。

    根據(jù)Cohn教授本人的意愿和客觀情況（年逾古稀），學院將在本部安排授課時間和地點。學院不專門考慮各班學生的已有上課時間安排，但正式注冊和旁聽的學生將在本課授課期間被允許離開其他課程而免于出勤考察。

1.       History and introduction to U.S. securities laws, the Securities and Exchange Commission, state securities laws, and enforcement principles.

2.       The breadth of the U.S. securities laws, principles of disclosure, public offering registration requirements.

3.       Initial examination of the Alibaba IPO: Pre-filing activities and compliance with registration requirements, underwriter roles

4.       Continued examination of the Alibaba IPO: Filing, and waiting period obligations, the IPO and its results

5.       Potential litigation against Alibaba: Section 11 analysis; Going Public without an IPO.

6.       Exemptions from registration, the private offering exemptions

7.       Secondary market disclosure obligations, regulation of stock exchanges and stock brokers, company liabilities for misleading public statements under Rule 10b-5.

8.       Management’s liabilities under Rule 10b-5

9.       Insider trading, the misappropriation doctrine and market manipulation
